Sean Caplice is a partner at Gunderson Dettmer in its Silicon Valley office. Sean's
corporate and securities law practice focuses on the structuring, formation,
organization and operation of venture capital and other private equity funds and
their general partner and related management company entities. Sean advises
funds in all stages of their operations, to include the preparation of offering
materials, negotiating with investors regarding fund formation matters, drafting
partnership, limited liability company and other governance agreements, and
counseling fund managers on all aspects of day-to-day operations. Sean serves as
fund counsel for a number of top-tier venture capital firms and provides advice
regarding all segments of venture fund formation and governance matters,
including securities laws and compliance with the Investment Company Act of
1940, the Investment Advisers Act of 1940, ERISA as well as other statutes and
regulations within the regulatory framework applicable to venture and private
equity funds.
Sean holds a J.D. from Stanford Law School, where he was an editor of the
Stanford Journal of Law, Business and Finance. He received a B.S. from the
United States Military Academy at West Point, New York. After West Point, Sean
served in a variety of leadership positions as an Armor Officer and Jumpmaster
in the U.S. Army's 82nd Airborne Division, and left active duty as a Captain.
Sean holds FINRA Series 63 and Series 65 exam licenses and is a California
registered investment adviser. He is admitted to practice law in California.
